<p>The Accounts Payable Specialist is responsible for managing the Accounts Payable (AP) process of assigned properties in a detailed and organized manner. This process includes the review, coding, and entry of invoices, responding to vendor inquiries, reconciling vendor accounts, assistance with creating/managing new vendor accounts, and preparing reports to management. </p>
<ul><li><strong><u> Invoice Processing:</u></strong><br>o Assemble, review, and code invoices and check requests<br>o Flag and clarify any unusual or questionable invoice items or prices<br>o Research and reconcile invoice discrepancies and issues<br>o Report erroneous or suspicious invoice activity to AP/AR Manager<br>o Enter and upload invoices into system<br>o Monitor accounts to ensure payments are up to date<br>o Correspond with vendors and respond to inquiries<br>o Provide supporting documentation for audits<br>o Maintain accurate vendor records<br>o Maintain confidentiality of organizational information<br>o Monthly Recurring Invoices<br>o Coordinate proper coverage of assigned properties during planned PTO</li></ul>
<ul><li>Monitor Accounts Payable Inbox for vendor requests, invoices, etc.</li></ul>
<ul><li> Vendor Set-Up/Maintenance<br>o Obtain and verify proper documentation (W-9/COI) for new vendor requests<br>o Update as necessary (Address changes, COI updates/expirations, etc.)</li></ul>
<ul><li>Maintain files and documentation thoroughly and accurately, in accordance with company policy, SOX guidelines, and accepted accounting practice</li><li>Assist with tracking and timely processing/payment of annual real estate taxes</li><li>Assist with other projects as needed </li><li>Support for and Adherence to DOC's Corporate Compliance Policies and Procedures</li><li>Attendance is an essential function of the job<br></li></ul>

<p>This Corporate Counsel will provide support to the SVP, General Counsel and VP, General Counsel with a focus on acquisitions, dispositions, leasing and vendor contract review.</p><p>If you're looking for work-life balance and have a passion for real estate, this is the role for you! The ideal candidate will have 5+ years of transactional experience in an attorney capacity; in-house experience is preferred but not required. <br></p>
<h1><u>What You'll Do</u></h1>
<p><strong><em>Real Estate</em></strong></p>
<ul><li>Review, negotiate and draft real estate transaction agreements</li><li>Review and perform customary real estate due diligence matters</li><li>Review and prepare real estate closing documents and assist with closings</li><li>Review, negotiate and draft real estate-related agreements and documents including easements, escrow agreements, and side letter agreements</li><li>Provide advice on contract interpretation</li></ul>
<p><strong><em>Leasing</em></strong></p>
<ul><li>Draft, review and negotiate leases, renewals and other leasing related documents</li><li>Assist with managing legal component of lease assignment and subletting processes</li><li>Assist with managing legal component of tenant collections program</li></ul>
<p><strong><em>Asset Management; General Corporate</em></strong></p>
<ul><li>Review and advise on property specific issues identified by facilities management partners and asset managers</li><li>Coordinate training/education for asset managers and facility management partners on legal aspects of their jobs as well as processes and procedures developed to ensure efficient operation of the properties</li><li>Review and advise on legal matters affecting day-to-day (property management) and financial operation (asset management) of properties</li><li>Draft, review and negotiate documents affecting day-to-day operations of properties, including Vendor Services Agreements, Purchase Orders, Rights of Entry and other property management related document</li><li>Review, negotiate and prepare general contracts for company</li></ul>
<p><strong><em>Corporate Finance</em></strong></p>
<ul><li>Assist in corporate and property-level financing</li><li>Review, negotiate and draft corporate finance transaction agreements and documents</li><li>Assist with equity offerings and due diligence</li></ul>
<p><strong><em>Corporate Governance</em></strong></p>
<ul><li>Assist in preparation and review of Board and Committee charters, policies, and submissions</li><li>Review and prepare Company policies and procedures</li><li>Assist in review and drafting of Company SEC filings</li><li>Assist in review and drafting of press releases</li><li>Assist in preparations for annual shareholder meetings</li></ul>

<p><strong>What You’ll Do</strong></p>
<p>The Accounts Payable Specialist is responsible for managing the Accounts Payable (AP) process of assigned properties in a detailed and organized manner. This process includes the review, coding, and entry of invoices, responding to vendor inquiries, reconciling vendor accounts, assistance with creating/managing new vendor accounts, and preparing reports to management. </p>
<ul><li><strong><u> Invoice Processing:</u></strong><br>o Assemble, review, and code invoices and check requests<br>o Flag and clarify any unusual or questionable invoice items or prices<br>o Research and reconcile invoice discrepancies and issues<br>o Report erroneous or suspicious invoice activity to AP/AR Manager<br>o Enter and upload invoices into system<br>o Monitor accounts to ensure payments are up to date<br>o Correspond with vendors and respond to inquiries<br>o Provide supporting documentation for audits<br>o Maintain accurate vendor records<br>o Maintain confidentiality of organizational information<br>o Monthly Recurring Invoices<br>o Coordinate proper coverage of assigned properties during planned PTO</li></ul>
<ul><li>Monitor Accounts Payable Inbox for vendor requests, invoices, etc.</li></ul>
<ul><li> Vendor Set-Up/Maintenance<br>o Obtain and verify proper documentation (W-9/COI) for new vendor requests<br>o Update as necessary (Address changes, COI updates/expirations, etc.)</li></ul>
<ul><li>Maintain files and documentation thoroughly and accurately, in accordance with company policy, SOX guidelines, and accepted accounting practice</li><li>Assist with tracking and timely processing/payment of annual real estate taxes</li><li>Assist with other projects as needed </li><li>Support for and Adherence to DOC's Corporate Compliance Policies and Procedures</li><li>Attendance is an essential function of the job<br></li></ul>
