Contract Associate will thoroughly diagnose client business needs, collaborate with client legal counsel, and work with third party suppliers to maximize customer value while mitigating risk. Contract Associate will support contract activity that may include client standard contract templates, new master agreements, statements of work, amendments, or require development of specialized contract vehicles to meet client business goals and objectives. Generally involves independent judgment and analysis of significant issue identification and resolution. Act as the client focal point for communication with legal, finance, procurement and stakeholders for resolution of contract issues and disputes. Key Responsibilities / Job Duties:• Close collaborate with client business stakeholders to secure a thorough understanding of client business needs for the supplier relationship• Review and prepare third party contracts in accordance with client policy• Perform steps in basic contract cycle:o Proposal Review: Receives supplier proposals from a Client Sourcing Manager and reviews content for any risk not already identified by the Sourcing Managero Defining Scope & Business Requirements: The Contracts Associate engages with the Requester and Sourcing Manager to define the Requester’s business requirements/needs for the contract.o Information Gathering: The Contracts Associate interfaces with the supplier to fill-in information gapso Contract drafting: Once scope is defined and all requirements have been gathered, the Contracts Associate drafts a Statement of Work using the client template (a.k.a. ‘paper’). Care should be taken to omit terms contained within the proposal that are unfavorable to client, while still writing an accurate description of the work to be performed.o Review Process: The Contracts Associate presents the draft contract to the Requester, Sourcing Manager, supplier, and Legal team for review and approval (in that order). Incorporates any requested changes, then routes to client’s Legal for final review/stamping, then to supplier for signature.o Facilitation between Legal Teams: Where differences exist between supplier and client’s preferred Legal terms, Contracts Associate may be asked to play the middle-man and exchange information between both parties. This would include review of various financial statements, such as balance sheet, income statement, cash flows, and statement of changes in equity.• Evaluate financial performance of companies / borrower / guarantor / commercial real estate asset class based on a variety of factors including past and current performance, management projections and market changes over the time period.• Determine appropriate risk rating, both qualitative and quantitative based on performance during the review time period and compare it against bank’s credit guidelines.• Document and synthesize findings based on above mentioned reviews into a credit report which would be for presented to lending officers and / or approval committees.• Quality check of work performed by other team members and provide appropriate feedback.• Training & mentoring resources along with reviewing, checking & overseeing and undertaking workload planning as well.• Understand the feedback received from the onshore team members and disseminate the same to the team.• Preparation and publishing of weekly/ monthly reports and trackers internally as well as to the client• Client interaction on weekly/ bi-weekly calls• Ability to manage multiple clients and support other teams• Supporting senior management in the overall functioning of the team.• Regular reporting to the senior management and client on the performance of the team.• Attention to detail and highlight all important details to maintain accuracy• Able to manage team members and able to handle conflicts• Manage and ensure smooth delivery of daily operations as per SLA• Experience in performance and career management of the team members• Able to manage projects independently• Responsible for managing transition of processes from on shore to offshoreEssential Qualifications/Experience:• Chartered accountants/MBA Finance (mandatory) and Bachelor's Degree (Commerce mandatory), equivalent• Most recent experience must include min 2-3 years of direct team leading experience in commercial lending domain which includes financial spreading and financial analysis teams• Should have experience in spreading of Corporate’s Financial Statements in client application• Should have an experience in assessing credit worthiness of the corporate borrowers based on qualitative and quantitative factors• Strong knowledge on GAAP Accounting / International Financial Reporting Standards• Sound knowledge of ratio analysis, cash flow, and trend analysis• Strong knowledge on accounting and finance, Industry analysis, Internal and external risk factors of the borrower• Understanding on Company’s management and equity sponsors strength & weaknesses.• Excellent report writing skills and communication skills• Strong analytic skill, Quick Learner & Attention to detail• Stakeholders/Client management• Ability to succeed in a team environmentQualificationsGraduate/Post GraduateI'm interestedI'm interestedPrivacy Policy
